Allgemeine Geschäftsbedingungen für digitale downloads

Die nachfolgenden Allgemeinen Geschäftsbedingungen (AGB) regeln die Nutzung und die Inanspruchnahme für das Shop-Angebot unter der Domain marialuisaengels.de

Der Verkäufer erbringt seine Leistungen auf der Grundlage der Allgemeinen Geschäftsbedingungen in der zum Zeitpunkt des Vertragsabschlusses gültigen Fassung. Alle Angebote des Shops können ohne vorherige Ankündigung geändert werden. Verbraucher im Sinne von §13 BGB werden als Kunden im Shop akzeptiert – d. h. jede natürliche Person, die ein Rechtsgeschäft zum Zweck abschließt, welches weder ihrer gewerblichen noch ihrer selbständigen beruflichen Tätigkeit zugerechnet wird.

 

§1 Allgemeines / Beschreibung der Dienstleistung

Der Kunde kann über den Shop digitale Dateidownloads und etwaig begleitendes Text- und Bildmaterial als Datei via Downloadlink erwerben (im Folgenden als “Produkte” bezeichnet). Die Produkte können durch den Kunden im Shop ausgewählt, dem Warenkorb hinzugefügt und anschließend gekauft werden. Die Produkte sind ausschließlich per Download erhältlich. Die erworbenen Produkte sind auf gängigen Dokumentenformate (pdf, MP3, MP4, JPEG) erhältlich, für die Kompatibilität übernimmt der Verkäufer keine Gewähr. Die nachstehenden allgemeinen Geschäftsbedingungen gelten für die gesamte Geschäftsverbindung mit dem Besteller. Der Besteller erkennt sie für den vorliegenden Vertrag als für ihn verbindlich an. Der Besteller stimmt zu, für vertragliche Zwecke elektronische Kommunikation, z. B. in Form von E-Mails, von uns zu erhalten und der Besteller stimmt auch zu, dass durch die elektronische Kommunikation die Form für alle Zustimmungen und Mitteilungen gewahrt ist, es sei denn zwingend anzuwendende gesetzliche Vorschriften schreiben eine andere Form vor. Der Besteller verzichtet auf die Geltendmachung eigener Einkaufsbedingungen. Diese werden auch nicht durch unser Schweigen oder durch unsere Lieferung Vertragsinhalt. Jeglicher Schriftverkehr mit uns muss über die im Impressum der Homepage angegebene Adresse abgewickelt werden.

§ 2 Zustandekommen des Vertrages

Die Darstellungen auf unseren Internet-Seiten sind als Aufforderung zur Abgabe von Angeboten durch Bestellung aufzufassen, d. h. die Bestellung ist das Angebot an uns, den oder die ausgewählten Artikel von uns zu kaufen. Ein Kaufvertrag kommt erst durch unsere ausdrückliche Annahme eines solchen Angebotes des Bestellers zustande. Detaillierte Informationen zum Bestellvorgang finden sich unter dem Menüpunkt Bestellung. Durch Anklicken des Buttons “Zahlungspflichtig bestellen”(oder gleichlautend) im letzten Schritt des Bestellprozesses gibt der Kunde ein verbindliches Angebot ab, die im Warenkorb befindlichen Produkte zum entgeltlichen Download zu erwerben. Der Verkäufer bestätigt dem Kunden den Eingang der Bestellung ausschließlich per E-Mail an die im Bestellprozess eingegebene bzw. m Kundenkonto hinterlegte Adresse. Der Zahlungsvorgang erfolgt über externe Online-Zahlungsdienstleister (PayPal).

Für die Dienstleistungen externer Zahlungsdienstleiter gelten die AGB des jeweiligen Anbieters, die auf der Homepage des jeweiligen Anbieters abgerufen werden können. Voraussetzung einer erfolgreichen Kaufabwicklung ist die korrekte Eingabe der vom Kunden abgefragten Daten. Der Kunde schließt die Zahlung ab, indem er auf der Website des Zahlungsdienstleisters nach erfolgter Anmeldung oder Eingabe seiner persönlichen Daten auf die Schaltfläche “Jetzt zahlen” (oder gleichlautend) klickt. Nach erfolgreicher Zahlung wird der Kunde in den Shop zurückgeleitet, wo die gekauften Produkte heruntergeladen werden können. Bei der Zahlungsart Vorkasse/Überweisung erfolgt die Freischaltung manuell nach Zahlungseingang. Nach erfolgreicher Zahlung wird dem Kunden umgehend eine Bestätigung per E-Mail an die hinterlegte E-Mail Adresse, wo er/Sie auch den Download link erhält. Durch die Bereitstellung der bestellten Produkte zum Download nimmt der Verkäufer das Angebot des Kunden an und der Kaufvertrag kommt zustande. Der Kaufvertrag gilt durch den Verkäufer als erfüllt, sobald das Produkt erstmalig erfolgreich heruntergeladen wurde.

 

§ 3 Preise, Fälligkeit und Zahlung, Verzug

Unsere Preise verstehen sich in Euro (€/EUR), die im Shop genannten Preise sind Endpreise, die gesetzliche Mehrwertsteuer ist im Preis enthalten. Der Kaufpreis wird sofort fällig. Die Zahlungsoptionen PayPal, Vorkasse/Überweisung sind kostenlos und gebührenfrei. Kauf auf Rechnung ist nicht möglich.

 Sollte der Käufer in Zahlungsverzug kommen, so sind wir berechtigt, Verzugszinsen in Höhe von 5 % über dem von der Europäischen Zentralbank bekannt gegebenen Basiszinssatz per anno zu fordern. Sollte uns ein höherer Verzugsschaden entstanden sein, sind wir berechtigt, diesen geltend zu machen. Ist der Käufer mit der Bezahlung einer Lieferung in Verzug, so können wir weitere Lieferungen zurückhalten, ohne in Verzug zu geraten. Einer ausdrücklichen Geltendmachung unseres Zurückbehaltungsrechts bedarf es nicht. Für die Rechtzeitigkeit der Zahlung ist nicht die Absendung, sondern das Datum des Eingangs der Zahlung bei uns oder der Gutschrift der Zahlung bei der von uns angegebenen Zahlstelle maßgebend.

§ 4 Versand

Die Artikel werden ausschließlich als Download vertrieben, es fallen keine Versandkosten an.

§ 5 Widerruf

Dem Käufer steht gesetzlich ein Widerrufsrecht gem. § 312g BGB zu wenn er Verbraucher ist, da es sich beim Kauf von Waren im Internet wie vorliegend um einen sog. Fernabsatzvertrag handelt. Zum Widerrufsrecht und seinen Folgen wird bei Abschluss der Bestellung noch eine gesonderte Widerrufsbelehrung erteilt und in Textform übermittelt.

Erlöschen des Widerrufsrechts

Bei Verträgen über digitale Inhalte/Güter, die nicht auf einem körperlichen Datenträger geliefert werden (wie z. B. Downloads) erlischt das Widerrufsrecht, sobald der Verkäufer mit der Ausführung des Vertrags begonnen hat, nachdem der Käufer ausdrücklich zugestimmt hat, dass der Verkäufer mit der Ausführung des Vertrags vor Ablauf der Widerrufsfrist beginnt, und der Käufer seine Kenntnis davon bestätigt hat, dass er durch seine Zustimmung mit Beginn der Ausführung des Vertrags sein Widerrufsrecht verliert. Die Zustimmung zum Beginn und Bestätigung der Kenntnisnahme durch den Käufer erfolgt am Ende des Bestellprozesses auf der Seite Zusammenfassung (Abfrage per Checkbox, Häkchen setzen) vor Absendung der Bestellung an den Verkäufer.

 

§ 6 Nutzungsrechte

Durch den Kauf erwirbt der Kunde das einfache, nicht übertragbare, räumlich und zeitlich uneingeschränkte Recht ein, die erworbenen Produkte zum ausschließlich persönlichen und privaten Gebrauch, nicht kommerziellen Zwecke beliebig oft zu speichern, kopieren und anzuhören bzw. anzusehen. Erworbene Produkte dürfen auf verschiedene lokale Speichergeräte kopiert, auf Datenträger gebrannt und ausschließlich privat abgespielt und genutzt werden. Jede weitergehende Verwendung, die über die eingeräumten Rechte hinausgeht, ist nicht gestattet. Eine kommerzielle Nutzung und Verbreitung der Produkte, ist nicht zulässig. Das Speichern und Einstellen erworbener Produkte in Datennetze außer in LinkedIn untersagt. Beim Teilen von Dateien auf Linkedin ist es notwendig, den Autor zu nennen, in diesem Fall Maria Luisa Engels. Bei den Produkten handelt es sich um urheberrechtlich geschütztes Material. Der Kunde hat bei Nutzung der erworbenen Produkte die gesetzlichen Bestimmungen und die Vorschriften des deutschen Urhebergesetzes (UrhG) in seiner jeweiligen Fassung einzuhalten. Alle Rechte der Urheber an den geschützten Werken, die auf der Website enthalten sind, bleiben vorbehalten. Der Download Link sowie die im Link hinterlegten Produkte dürfen nur durch den Kunden selbst verwendet und nicht an Dritte weitergegeben werden. Der Verkäufer behält sich vor, die angebotenen Produkte mit digitalen Wasserzeichen zu versehen. Digitale Wasserzeichen bestehen aus nicht wahrnehmbaren Informationen, die z. B. in Audiodaten eingefügt werden können.

 

§ 7 Eigentumsvorbehalt

Gelieferte Produkte bleiben bis zur vollständigen Bezahlung unser Eigentum. Versicherungs- und Schadensersatzansprüche, die der Käufer wegen Verlusten oder Schäden an den Produkten erwirbt, werden hiermit an uns abgetreten. Befindet sich der Käufer in Verzug, hat er uns auf unser Verlangen Zutritt zu den in seinem Besitz befindlichen Produkten zu gewähren, uns eine genaue Aufstellung der Produkte zu übersenden, die Produkte an uns herauszugeben und diese bei sich zu löschen und zu vernichten.

 

§ 8 Haftung

Soweit der Kunde Leistungen des Shops unter Verwendung von Zugangsdaten in Anspruch nimmt, ist der Kunde verantwortlich diese sicher und vor dem Zugriff Dritter aufzubewahren und haftet für jede mit seinen Zugangsdaten vorgenommene Handlung (inkl. Leistung von Vergütungen). Vermutet der Kunde, dass unberechtigte Dritte davon Kenntnis erlangt haben, ist das persönliche Passwort unverzüglich zu ändern und der Verkäufer zu informieren. Der Kunde verpflichtet sich, keine von mehreren Nutzern verwendete Sammel-E-Mail Adresse zu verwenden. Der Kunde haftet bei von ihm zu vertretenden Verletzungen von Rechten Dritter gegenüber diesen selbst und unmittelbar. Bei begründeten Ansprüchen Dritter ist der Kunde verpflichtet, den Verkäufer freizustellen, sofern er nicht nachweist, dass er die schadensursächliche Pflichtverletzung nicht zu vertreten hat. Bei Vorsatz oder grober Fahrlässigkeit haftet der Verkäufer für alle darauf zurückzuführenden Schäden unbeschränkt. Soweit die zurechenbare Pflichtverletzung des Verkäufers auf einfache Fahrlässigkeit zurückzuführen ist und eine wesentliche Vertragspflicht schuldhaft verletzt ist, ist die Haftung des Verkäufers auf den typischen, vergleichbaren Schaden begrenzt, der in vergleichbaren Fällen auftritt. Für Datenverlust, den der Shop zu vertreten hat, oder Mangelfolgeschaden haftet der Verkäufer nur für Schäden die auf bis zur letzten Datensicherung des Kunden verlorengegangene Daten zurückzuführen sind, bzw. bis zum vorhergehenden Zeitpunkt, an dem die Datensicherung durchzuführen gewesen wäre. Die Haftung für alle Schäden, insbesondere Datenverluste und Hardwarestörungen beim Kunden, die durch Inkompatibilität der vom Kunden benutzten Hard- und Software mit den Shop System des Verkäufers verursacht werden und für Systemstörungen, die durch vorher bestehende Konfigurationsmängel oder alte, unbrauchbare, nicht vollständig entfernte Treiber, Daten oder Datenfragmente verursacht werden, ist ausgeschlossen.

§ 9 Sperrung

Der Verkäufer behält sich das Recht vor, bei Missbrauch, Verletzung von Vertragspflichten und Obliegenheiten sowie Zahlungsverzug das Kundenkonto zu sperren und keine Neuanmeldung zuzulassen.

 

§ 10 Rücktrittsrechte

Wir können vom Vertrag zurücktreten, wenn sich nach Vertragsschluss herausstellt, dass von uns Preise angeben wurden, die unter unseren tatsächlichen Bezugspreisen liegen und wir diesen Umstand nicht zu vertreten haben, weil falsche Informationen hierzu geführt haben. Wir können auch vom Vertrag zurücktreten, wenn sich nach Vertragsschluss herausstellt, dass von uns Preise angeben wurden, dessen Umstand wir nicht zu vertreten haben, weil Software-Fehler hierzu geführt haben. Unsere Anfechtungsrechte wegen Irrtums bleiben von den vorstehend beschriebenen Rücktrittsrechten unberührt. Im Falle der vorgenannten Sachverhalte wird der Besteller unverzüglich informiert und gezahlte Kaufpreise unverzüglich erstattet.

 

§ 11 Mängelhaftung

Dem Käufer stehen in Bezug auf Mängel an der Kaufsache die gesetzlichen Ansprüche aus dem Bürgerlichen Gesetzbuch zu. Liegt ein Mangel der Kaufsache vor, kann der Besteller zunächst Nacherfüllung = die Lieferung einer mangelfreien Kaufsache verlangen. Die mangelhafte zuerst gelieferte Kaufsache ist durch den Käufer zu belegen und dem Verkäufer schriftlich (z. B. per E-Mail) zu melden. Schlägt die Nacherfüllung fehl, kann der Besteller wahlweise den Kaufpreis entsprechend dem Mangel mindern oder ganz vom Vertrag zurücktreten. Wenn das gelieferte Produkt offensichtliche Sachmängel hat, muss der Käufer spätestens innerhalb von vierzehn Tagen nach Entgegennahme des Produktes unter Angabe der Fehler und unter Hinweis auf die Auftragsnummer, diese Mängel bei uns anzeigen. Maßgeblicher Zeitpunkt für die Einhaltung dieser Anzeigefrist ist nicht der Eingang bei uns, sondern der Poststempel bzw. das Absende-Datum der Mängelanzeige. Offensichtlich ist ein Mangel immer dann, wenn er ohne besondere Aufmerksamkeit auffällt. Die verspätete Anzeige solcher offensichtlichen Mängel führt zum Verlust der Gewährleistungsrechte hinsichtlich solcher Mängel. Für nicht offensichtliche Mängel gelten hingegen die gesetzlichen Verjährungsfristen. Ist der Käufer Kaufmann i. S. d. HGB bleibt die besondere Rügepflicht im kaufmännischen Verkehr nach §§ 377, 378 HGB unberührt.

 

§ 12 Zurückbehaltung und Aufrechnung

Der Käufer kann ein Zurückbehaltungsrecht nur geltend machen, wenn es auf demselben Vertragsverhältnis beruht. Zu einer Aufrechnung ist er nur berechtigt, wenn wir die Gegenforderung nicht bestreiten oder diese rechtskräftig festgestellt worden ist. Sofern der Käufer Kaufmann i. S. d. HGB ist, sind seine Zurückbehaltungsrechte ausgeschlossen.

 

§ 13 Auslandsgeschäfte

Sämtliche Vereinbarungen mit uns unterliegen deutschem Recht. Die Bestimmungen des Übereinkommens der Vereinten Nationen über internationale Kaufverträge finden keine Anwendung.

 

§ 14 Wirksamkeit

Die Unwirksamkeit einer oder mehrerer Klauseln dieser Allgemeinen Geschäftsbedingungen berührt nicht die Wirksamkeit des Vertrages im Übrigen. Anstelle der unwirksamen Regelung treten die gesetzlichen Regelungen.

 

§ 15 Erfüllungsort, Gerichtsstand

Für alle Rechte und Pflichten aus der Geschäftsverbindung bestimmt sich der Erfüllungsort nach den gesetzlichen Regelungen. Sofern der Besteller Kaufmann i. S. d. HGB ist, wird für alle Streitigkeiten aus dem Vertrag die ausschließliche Zuständigkeit des Gerichtes an unserem Sitz vereinbart. Unser Recht, unsere Ansprüche an einem anderen Gerichtsstand gerichtlich geltend zu machen, bleibt gegenüber Kaufleuten unberührt. Auch gegenüber einem Besteller, der kein Kaufmann ist, können wir unsere Ansprüche vor dem Gericht an unserem Sitz geltend machen, wenn er in der Bundesrepublik Deutschland keinen allgemeinen Gerichtsstand hat oder wenn er nach Vertragsabschluss seinen Wohnort oder gewöhnlichen Aufenthaltsort aus diesem Gebiet verlegt oder wenn sein Wohnsitz oder gewöhnlicher Aufenthalt im Zeitpunkt der gerichtlichen Geltendmachung des Anspruchs nicht bekannt ist.

 

§ 16 Datenschutz

Informationen über Art und Umfang, Ort und Zweck der Erhebung, Verarbeitung und Nutzung der für die Ausführung von Bestellungen erforderlichen personenbezogenen Daten durch uns finden sich in der Datenschutzerklärung.

General terms and conditions for digital downloads

The following General Terms and Conditions (GTC) regulate the use and the claim for the store offer under the domain marialuisaengels.de

The Seller provides its services on the basis of the General Terms and Conditions in the version valid at the time of the conclusion of the contract. All offers of the store can be changed without prior notice. Consumers in the sense of §13 BGB (German Civil Code) are accepted as customers in the store – i.e. any natural person who concludes a legal transaction for a purpose that is neither attributable to his commercial nor his independent professional activity.

 

§1 General / Description of the service

The customer can purchase digital file downloads and any accompanying text and image material via the store as a file via download link (hereinafter referred to as “products”). The Products can be selected by the Customer in the Shop, added to the shopping cart and subsequently purchased. The Products are available exclusively via download. The purchased Products are available on common document formats (pdf, MP3, MP4, JPEG), the Seller does not guarantee their compatibility. The following general terms and conditions apply to the entire business relationship with the purchaser. The orderer recognizes them for the present contract as obligatory for him. The Purchaser agrees to receive electronic communication, e.g. in the form of e-mails, from us for contractual purposes and the Purchaser also agrees that electronic communication shall preserve the form for all consents and notices, unless mandatory applicable statutory provisions prescribe a different form. The Purchaser waives the right to assert its own terms and conditions of purchase. These shall also not become part of the contract through our silence or through our delivery. Any correspondence with us must be handled via the address given in the imprint of the homepage.

 

§ 2 Conclusion of the contract

The representations on our Internet pages are to be understood as an invitation to make offers by placing an order, i.e. the order is the offer to us to purchase the selected item(s) from us. A purchase contract is only concluded by our express acceptance of such an offer by the purchaser. Detailed information on the ordering process can be found under the menu item Order. By clicking the button “Order with obligation to pay”(or the same) in the last step of the ordering process, the customer makes a binding offer to purchase the products in the shopping cart for download against payment. The seller confirms the receipt of the order to the customer exclusively by e-mail to the address entered in the ordering process or stored in the customer account. The payment process takes place via external online payment service providers (PayPal).

 

For the services of external payment service providers, the GTC of the respective provider apply, which can be accessed on the homepage of the respective provider. A prerequisite for successful purchase processing is the correct entry of the data requested by the customer. The customer completes the payment by clicking on the “Pay now” button (or the equivalent) on the website of the payment service provider after successful registration or entry of his personal data. After successful payment, the customer is redirected back to the store, where the purchased products can be downloaded. In the case of payment in advance/bank transfer, the activation takes place manually after receipt of payment. After successful payment, the customer will immediately receive a confirmation by e-mail to the stored e-mail address, where he / she also receives the download link. By providing the ordered products for download, the seller accepts the customer’s offer and the purchase contract is concluded. The purchase contract is considered fulfilled by the seller as soon as the product has been successfully downloaded for the first time.

 

§ 3 Prices, due date and payment, default

Our prices are in Euro (€/EUR), the prices mentioned in the store are final prices, the legal VAT is included in the price. The purchase price is due immediately. The payment options PayPal, prepayment/bank transfer are free and free of charge. Purchase on account is not possible.

 Should the purchaser be in default of payment, we shall be entitled to demand interest on arrears in the amount of 5% above the base interest rate per annum announced by the European Central Bank. Should we have incurred a higher damage caused by default, we shall be entitled to assert such damage. If the purchaser is in default of payment for a delivery, we may withhold further deliveries without being in default. An express assertion of our right of retention is not required. The date of receipt of the payment by us or the date on which the payment is credited to the paying agent specified by us shall be decisive for the timeliness of payment, not the date of dispatch.

§ 4 Shipping

The articles are distributed exclusively as downloads, no shipping costs are incurred.

§ 5 Revocation

The buyer is legally entitled to a right of withdrawal according to § 312g BGB if he is a consumer, since the purchase of goods on the Internet as in this case is a so-called distance contract. Regarding the right of withdrawal and its consequences, a separate cancellation policy will be issued and sent in text form upon completion of the order.

Expiry of the right of withdrawal

In the case of contracts for digital content/goods that are not delivered on a physical data carrier (such as downloads), the right of withdrawal shall expire as soon as the seller has commenced performance of the contract after the buyer has expressly consented to the seller commencing performance of the contract prior to the expiry of the withdrawal period and the buyer has confirmed his knowledge that his consent means that he loses his right of withdrawal upon commencement of performance of the contract. Consent to commence and confirmation of the Buyer’s knowledge is made at the end of the ordering process on the Summary page (query by checkbox, tick) before sending the order to the Seller.

 

§ 6 Rights of use

Through the purchase, the customer acquires the simple, non-transferable, spatially and temporally unrestricted right to store, copy and listen to or view the purchased products as often as desired for exclusively personal and private use, not for commercial purposes. Purchased products may be copied to various local storage devices, burned to data carriers and played and used exclusively for private purposes. Any further use beyond the rights granted is not permitted. Commercial use and distribution of the products, is not permitted. Saving and posting purchased products on data networks other than LinkedIn is prohibited. When sharing files on Linkedin, it is necessary to name the author, in this case Maria Luisa Engels. The products are copyrighted material. When using the purchased products, the customer must comply with the legal provisions and the regulations of the German Copyright Act (UrhG) in its respective version. All rights of the authors to the protected works contained on the website are reserved. The download link as well as the products deposited in the link may only be used by the customer himself and may not be passed on to third parties. The seller reserves the right to add digital watermarks to the offered products. Digital watermarks consist of imperceptible information that can be inserted into audio data, for example.

 

§ 7 Retention of title

Delivered products shall remain our property until payment has been made in full. Insurance claims and claims for damages which the buyer acquires due to loss or damage to the products are hereby assigned to us. If the Buyer is in default, he shall, at our request, grant us access to the products in his possession, send us a detailed list of the products, surrender the products to us and delete and return them to us.destroy

 

§ 8 Liability

Insofar as the customer uses services of the store by using access data, the customer is responsible for keeping them safe and protected from access by third parties and is liable for any action taken with his access data (including payment of remuneration). If the customer suspects that unauthorized third parties have gained knowledge of it, the personal password must be changed immediately and the seller must be informed. The customer undertakes not to use a collective e-mail address used by several users. The customer is liable for violations of third party rights for which he is responsible towards these third parties himself and directly. In the event of justified claims by third parties, the customer is obligated to indemnify the seller, unless he can prove that he is not responsible for the breach of duty that caused the damage. In the event of intent or gross negligence, the Seller shall be liable without limitation for all damages attributable thereto. If the attributable breach of duty of the seller is due to simple negligence and an essential contractual obligation is culpably violated, the liability of the seller is limited to the typical, comparable damage that occurs in comparable cases. For loss of data, for which the store is responsible, or consequential damage, the seller is only liable for damage that can be traced back to data lost up to the last data backup of the customer, or up to the previous point in time at which the data backup would have had to be carried out. The liability for all damages, especially data loss and hardware malfunctions at the customer, which are caused by incompatibility of the hardware and software used by the customer with the store system of the seller and for system malfunctions, which are caused by pre-existing configuration deficiencies or old, unusable, not completely removed drivers, data or data fragments, is excluded.

§ 9 Blocking

The seller reserves the right to block the customer account in case of misuse, violation of contractual duties and obligations as well as default of payment and not to allow a new registration.

§ 10 Rights of withdrawal

We may withdraw from the contract if it becomes apparent after conclusion of the contract that we have quoted prices which are lower than our actual purchase prices and we are not responsible for this circumstance because incorrect information has led to this. We may also withdraw from the contract if, after conclusion of the contract, it becomes apparent that we have quoted prices for which we are not responsible because software errors have led to this. Our rights of rescission due to error shall remain unaffected by the rights of rescission described above. In the event of the aforementioned circumstances, the customer will be informed immediately and any purchase prices paid will be refunded without delay.

 

§ 11 Liability for defects

The Purchaser shall be entitled to the statutory claims under the German Civil Code in respect of defects in the purchased item. If there is a defect in the purchased item, the Purchaser may first demand subsequent performance = the delivery of a defect-free purchased item. The defective purchase item delivered first must be proven by the purchaser and reported to the seller in writing (e.g. by e-mail). If the subsequent performance fails, the purchaser may either reduce the purchase price in accordance with the defect or withdraw from the contract altogether. If the delivered product has obvious material defects, the buyer must report these defects to us within fourteen days of receipt of the product at the latest, stating the defects and referring to the order number. The relevant time for compliance with this notification period is not the date of receipt by us, but the postmark or the date of dispatch of the notice of defect. A defect is always obvious if it is noticeable without special attention. Delayed notification of such obvious defects shall result in the loss of warranty rights with regard to such defects. For non-obvious defects, on the other hand, the statutory limitation periods shall apply. If the Buyer is a merchant within the meaning of the German Commercial Code (HGB), the special obligation to give notice of defects in commercial transactions pursuant to §§ 377, 378 HGB shall remain unaffected.

 

§ 12 Retention and set-off

The purchaser may only assert a right of retention if it is based on the same contractual relationship. He shall only be entitled to a set-off if we do not dispute the counterclaim or if it has been legally established. If the purchaser is a merchant within the meaning of the German Commercial Code (HGB), his rights of retention shall be excluded.

§ 13 Foreign business

All agreements with us are subject to German law. The provisions of the United Nations Convention on Contracts for the International Sale of Goods shall not apply.

 

§ 14 Effectiveness

The invalidity of one or more clauses of these General Terms and Conditions shall not affect the validity of the remainder of the contract. The invalid provision shall be replaced by the statutory provisions.

 

§ 15 Place of performance, place of jurisdiction

For all rights and obligations arising from the business relationship, the place of performance shall be determined in accordance with the statutory provisions. If the customer is a merchant within the meaning of the German Commercial Code (HGB), the exclusive jurisdiction of the court at our registered office is agreed for all disputes arising from the contract. Our right to assert our claims in court at another place of jurisdiction shall remain unaffected vis-à-vis merchants. We may also assert our claims against a customer who is not a merchant before the court at our registered office if he has no general place of jurisdiction in the Federal Republic of Germany or if he moves his place of residence or habitual abode out of this area after conclusion of the contract or if his place of residence or habitual abode is not known at the time of assertion of the claim in court.
